Terms of Service

These Terms of Use (the "Terms") constitute a binding legal agreement entered into by and between "Narchin" LLC (VÖEN 1704145281; hereinafter "Narchin", the "Operator", "we", or "us") and the natural person or organisation that registers on the Platform (hereinafter "you", the "User", or the "Organisation"). They govern your access to and use of the Narchin platform located at narchin.ai, our mobile applications, and all related software-as-a-service offerings (collectively, the "Platform").

By accepting these Terms and the Privacy Policy at the point of registration, you acknowledge that you have read, understood, and agree to be bound by them in their entirety. This English text is provided for convenience of reference only; the Azerbaijani-language version shall constitute the controlling text in the event of any inconsistency.

Narchin furnishes software-as-a-service (SaaS) and neutral marketplace operator functions exclusively. Narchin is not a party to, and assumes no obligation in respect of, any trade, carriage, forwarding, financing, or other commercial transaction concluded between participants on the Platform, and offers no warranty, express or implied, as to the performance thereof.

All operational rights and obligations arising from such transactions shall run participant-to-participant and shall be governed by the applicable capability agreements and per-deal contracts executed within the Platform, and not by these Terms.

As a condition of accessing and using the Platform, you covenant and agree that you shall:

• Provide true, accurate, current, and complete registration information, and promptly update such information so as to maintain its accuracy throughout the period of use;
• Safeguard the confidentiality of your account credentials and authentication factors at all times;
• Notify Narchin without undue delay of any actual or suspected unauthorised access to, or use of, your account; and
• Accept full and sole responsibility for all activities conducted through your account, whether or not expressly authorised by you.

You represent and warrant that you are at least eighteen (18) years of age and possess all necessary authority to enter into these Terms on behalf of the Organisation you purport to represent.

You shall refrain from, and shall not permit any third party to engage in, any of the following activities:

• Fraud, deception, or material misrepresentation of any kind;
• Unauthorised scraping, harvesting, or extraction of data from the Platform by any automated or manual means;
• Any conduct that infringes the rights — including intellectual property, contractual, or proprietary rights — of other participants;
• Uploading, transmitting, or introducing any malicious code, virus, or harmful component, or otherwise interfering with the operation, security, or integrity of the Platform or its users;
• Any use of the Platform for purposes that are unlawful, fraudulent, or contrary to public policy.

The Platform and all associated content, source code, design, trademarks, service marks, and other proprietary materials remain the exclusive property of Narchin or its licensors. Subject to your continued compliance with these Terms, Narchin hereby grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Platform solely for its intended purpose. You shall not reproduce, distribute, modify, translate, reverse engineer, or create derivative works of any part of the Platform without Narchin's prior express written consent.

Use of the Platform is subject to the subscription plan elected by you. The applicable fees, billing cycle, and payment terms shall be those set forth in our then-current plans and pricing schedule, which shall be made available to you prior to subscription. Intra-group subscriptions concluded between Narchin and its affiliated entities shall be governed by their respective separate agreements and shall fall outside the scope of these Terms.

The processing of personal data in connection with your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference and forms an integral part hereof. You are encouraged to review the Privacy Policy carefully in order to understand the manner in which Narchin collects, uses, discloses, and safeguards your personal data.

Narchin reserves the right to suspend, restrict, or terminate your access to the Platform, in whole or in part and with immediate effect, in the event of a material breach of these Terms. In the case of terminations not based on a violation, Narchin shall provide reasonable advance notice of not less than thirty (30) calendar days. You may close your account at any time, provided that statutory and contractual retention obligations described in the Privacy Policy shall continue to apply notwithstanding such closure.

The Platform is provided on an "as is" and "as available" basis, without warranty of any kind, whether express, implied, or statutory, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. In its capacity as a neutral operator, Narchin shall bear no liability for the outcomes of transactions between participants (including, without limitation, loss of or damage to cargo, late delivery, or default in payment); any such claims shall lie exclusively against the participant concerned.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NARCHIN'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO NARCHIN DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL NARCHIN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

You shall defend, indemnify, and hold harmless Narchin, its affiliates, and their respective directors, officers, employees, and agents from and against any and all third-party claims, actions, proceedings, losses, damages, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (i) your misuse of the Platform, (ii) your breach of these Terms or of any representation, warranty, or covenant contained herein, or (iii) your violation of any applicable law or regulation.

Narchin reserves the right, in its sole discretion, to amend, modify, or supplement these Terms from time to time. In respect of material amendments, Narchin shall provide not less than thirty (30) days' advance notice, and your renewed acceptance may be required as a condition of continued use of the Platform. The revised Terms shall be posted on this page together with an updated version number and "Last updated" date.

These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the substantive laws of the Republic of Azerbaijan, without regard to its conflict-of-laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the competent courts of the City of Baku, Republic of Azerbaijan.

Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to render it enforceable, and the remaining provisions shall continue in full force and effect. Entire Agreement. These Terms, together with the Privacy Policy and any applicable capability and per-deal agreements, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, or representations. Assignment. You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of Narchin; Narchin may freely assign these Terms in whole or in part. No Waiver. The failure of either party to enforce any right or provision shall not constitute a waiver thereof.
